available to help you verify a journal title, its location, or which EPA library owns the title.
The Keyword List of Current Journals arranges journals by subject. For example, listed
under International are World Press Review, UN Chronicle, and Environment
International', under Management, California Management Review and Government
Executive. Access to Journals: Hazardous Waste Superfund Collection provides both a
subject index and an alphabetical-by-title index that contains a brief description of each
journal including subject area covered, frequency of publication and publisher.
The EPA Journal Holdings Report contains the journal holdings of the EPA Library
Network. It is available for use by library patrons at all EPA libraries. Copies are also
available at the Headquarters Library and through the National Technical Information
Service (order no. PB91 -131318). Each entiy contains a 3 letter symbol which identifies
what EPA library holds that journal. A sample entry and the symbols are explained at the

FOCUS ON - LENDER LIABILITY IN SUPERFUND

What is it All About?

Hazardous Waste Superfund Collection
The issue of the extent a lender may be
held liable wider the Superfund law has
generated much interest To address this issue
the Environmental Protection Agency (EPA) is
drafting a rule and several bills have been
introduced in Congress. Resolution of this issue
may have important ramifications on Superfund
enforcement, as well as financial lending
practices in this country.
Banking interests say that the original
Superfund law exempted lenders from
Superfund Babtilty but that a new court
interpretation of the law may subject lenders to
increased KabSity. Banks indicate that if
Congress does not act to correct this court
interpretation, they will be more reluctant to offer
loans to businesses that pose a risk for potential
cleanup liabililty. On the other hand,
environmentalists say that lenders were never
totally excluded from the Superfund law and that
providing preferential treatment to lenders will
open the door for other groups to question the
overall SabSty scheme. As a result, they believe
this will adversely impact the effectiveness of
Superfund. What follows is a brief look at the
issue and pertinent references.
The "Secured Creditor Exemption"
under CERCLA
The Comprehensive Environmental Response.
Compensation, and Liability Act as amended
(CERCLA), imposes iabifity generally on four
groups of parties: the present owner or operator of
a facility; the owner or operator at the time of
disposal; the generator of the hazardous
substances; and the person who transported the
hazardous substance to the facility. Within the
definition of "owner or operator" there is an
exemption from liability on:
[a] "person who, without participating in the
management of a...facility, holds indicia of
ownership primarily to protect his security interest
in the...facility." 42 U.S.C. Sec. 9601 (20KA).
Several courts have interpreted the exemption.
Courts have stated that the exemption is lost where
the lender actively participates in the day to day
management of the affairs of the borrower or where
the lender holds the incicta of ownership as an
investment and not to protect its security interest
In May of 1990, the Eleventh Circuit Court of
Appeals in U.S. v. Fleet Factors, created
uncertainty in the lending community by stating
that a person or entity may be considered to have
participated in management when such
participation indicates that a person or entity had
the capacity to influence the company's treatment
of hazardous wastes. Banks argue that this
decision makes them Babte for merely providing
financial advice to a borrower without ever actively
exercising any control over the borrower's
operations. Further, banks say that unless the law
is changed, they will shy away from providing Joans
to companies which are involved with hazardous
waste. Banking experts say this contributes to the
"credit crunch" now existing in the country.

Two major bills—one in the House and the other
in the Senate—have been introduced to address
the secured creditor exemption. They are:
• S.651. Introduced by Sen. Jake Gam
(R-UT) on March 13.1991.
• H.R.1450. Introduced by John J.
LaFalce (D-NY) on March 14, 1991.
In addition, two other bills dealing with this issue
have been introduced in the states:
• Illinois House Bill 687, introduced on
March 12, 1991.
• Massachusetts Senate Bill 898,
introduced on February 1, 1991.

press time, EPA has drafted a rute to clarify
what activities may be undertaken by a bank
without triggering liability for hazardous waste
cleanups. Among other things, this rute wUl further
define the terms "indicia of ownership,'1 "protection
of a security interest," and "participating in
management" The rule is presently undergoing
interagency review within the Executive Branch.
